1 - GENERAL PROVISIONS
The purpose of these General Conditions of Sale (hereinafter referred to as "GTC") is to
define the conditions under which ELYPSUN sells to customers acting mainly in a professional capacity, the products and services visible on the site www.circaya.com
The "Terms and Conditions" are brought to the attention of customers permanently on the sites, by following the link "conditions general sales" located at the bottom page.
ELYPSUN SAS will also communicate them to anyone who requests it. As such, they are enforceable against any client. Consequently, any order placed entails the unconditional acceptance of the "GTC" by the customer.
The customer therefore declares to have read these general conditions of sale. The acceptance of an estimate, or the placing of orders, by any means whatsoever, constitutes full acceptance of these general conditions of sale.
ELYPSUN SAS reserves the right to modify the "GTC". It therefore invites customers to consult the T&Cs before placing any new order. The version applicable to a given order is the day the order is placed or the quote presented by the customer.
2 - PLACING OF ORDER(S)
Orders placed by professional intermediaries or wholesalers must be the subject of a detailed and personalized estimate delivered or sent (by simple letter or by email) to the customer. This quote mentions the designation and type of services requested by the customer, as well as the terms and costs relating thereto.
Orders are validated, either by receipt of the quote, returned signed by email. , either by reception
From a purchase order.
Orders placed through the website or by mail bind the buyer upon receipt of the order by the seller.
The seller will ship to the address communicated to him by the buyer all the articles appearing on his order, with the exception of those which will not be available on the day of receipt of the order. These will be shipped later as soon as they are available.
Characteristics of the products: The information provided on the CIRCAYA sites allows the customer to know the essential characteristics of the products he plans to order. The photographs are presented for information only without contractual value.
Outside the European Union or in the DOM-TOMs, and according to the legislation in force in the delivery area, customs fees, duties and taxes may be claimed from the Customer.
3 - PRICE ET SERVICE
The purpose of ELYPSUN SAS is to provide personalized products, made on demand, so there is no standard price list. The rates are provided to customers, in the form of an estimate in accordance with their request.
For business customers
, the prices appearing on the estimate are valid for one month from the date of publication thereof. They are firm and non-revisable at the time of the order if this occurs during this period. Our service includes everything that is explicitly listed in the "Description" field. As a corollary, it does not understand what is not explained in this same field. Any service not included in this proposal will be subject to a free additional estimate. As soon as the order is confirmed, payment of a deposit of 30% of the amount including tax (VAT rate: 20%) of the order must be made by bank transfer or by credit card to the order of the company ELYPSUN, (Les checks are accepted, but delay the consideration of the order by 2 to 3 weeks). Professionals with an open account benefit from special commercial conditions, which have been granted to them in writing.
Changes coming out of the initial brief, arriving at the end of the project and requiring the questioning of all or part of the project will serve as additional invoicing equal to the time spent on an hourly rate of 50.00 excluding VAT following the nature of the service.
For individual customers,
The selling prices of the products are those in effect at the time the order is registered. They are expressed in euros. VAT, at the rate in force in France, is included in the prices communicated. Postage, packaging and cash on delivery costs are invoiced in addition. Payment is cash, by bank transfer or by Carte Bleue payable to the company ELYPSUN, (Checks are accepted, but delay the taking into account of the order by 2 to 3 weeks)
4 - PAYMENT TERMS
Except for an additional payment period agreed by agreement between the two parties and appearing on the invoice, payment is made no later than the thirtieth day following the date of receipt of the equipment. Any delay in payment from the 31st day after the issue of the invoice (or, where applicable, from the maximum payment date appearing therein) will give rise to late payment penalties payable without reminder and calculated according to the rules laws in force. The rate of late payment penalties is equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 7 points (c.com. art L 441-6, amended al 3), with a minimum of €60.00 excluding VAT.
Advance payment does not give rise to any discount or other advantage of any kind whatsoever.
Non-payment of an invoice on its due date also makes all sums owed by the customer immediately payable. ELYPSUN SAS may set off with the sums owed by the customer, even if the conditions for legal compensation are not met.
In addition to the damages it may claim, ELYPSUN SAS also reserves the right to suspend any delivery until full payment of the sums due.
5 - DELIVERY OF PRODUCTS, MODELS AND WORKING DOCUMENTS
Unless otherwise stated, the products are delivered to you by carrier.
The delivery time for standard products is generally 2 weeks for any order placed before 11 a.m. from Monday to Friday, except in cases of force majeure or out of stock, but also with the exception of holiday periods. In the event of delay, the seller may exonerate himself from all or part of his liability by providing proof that the non-performance or poor performance of the contract is attributable either to the buyer or to the unforeseeable and insurmountable fact of a third party. to the contract, or to a case of force majeure.
It is up to the buyer to check the good condition of the products upon receipt, before signing the delivery note.
Any complaint, on the apparent defects or on the non-conformity of the product delivered, in connection with the ordered material, must be stipulated by registered letter with acknowledgment of receipt within 3 days according to the deadline provided for in article L133-3 of the code. Trade. Article L121-105 provides, however, that when the buyer personally takes delivery of the objects transported and when the valet does not justify having given him the opportunity to actually check their good condition, the period mentioned in article L133-3 of the code of trade is increased to 10 days.
6A - ASSIGNED RIGHTS
It is recalled here for information purposes that according to the French Code of Intellectual Property (articles L.121-1 to L.121-9), the moral right of a creation (including right of disclosure, right to respect for work and right of withdrawal) is attached to its creator in a perpetual and imprescriptible manner.
In fact, only the economic rights explicitly stated on the invoice in the "Rights Assigned" field will be transferred to the customer, to the exclusion of any other, and this within the possible limits also appearing there (limit of support, territory or duration). These rights may in particular include the right of reproduction, the right of representation, the right of modification, the right of exploitation. Finally, it is recalled that according to the same French Code of Intellectual Property (Art. L. 122-4), any representation or reproduction in whole or in part made without the consent of the author or his successors in title is unlawful, and punished according to laws relating to the crime of counterfeiting. The same applies to translation, adaptation or transformation, arrangement or reproduction by any art or process whatsoever.
6B - RIGHT OF WITHDRAWAL :
The buyer benefits, for PRIVATE customers, for 14 days from the date of delivery, of the “satisfied or refunded” clause, for standard products, the return of CUSTOM-MADE products remains at the discretion of from SAS ELYPSUN. Products must be returned in new condition and in their original packaging. Failing this, all costs of repairing the product would be borne by the buyer. The costs relating to the return of the product remain the responsibility of the buyer.
STANDARD products are products in White color, or raw ALU, square shape, dimensions 400 x 400 mm to 600x 600 mm maximum.

Returned products are fully refunded except for return costs, within 14 days of receipt, and after checking that they are in good condition and are in good working order. in accordance with article L.121-21-4 of the Consumer Code, ELYPSUN may defer reimbursement until the goods are recovered or until the consumer has provided proof of the shipment of these goods. ELYPSUN will proceed with the refund using the same means of payment as that used for the transaction, in any case, this refund will not incur any costs for the Customer.
7 - COPYRIGHTS AND COMMERCIAL NOTICES ELYPSUN
Unless explicitly stated otherwise by the client, ELYPSUN reserves the right to include in the production a commercial statement clearly indicating its contribution, in the form of a statement such as "Production: ELYPSUN" accompanied when the medium allows it by a link hypertext pointing to the commercial site of its activity.
8 - RIGHT OF PUBLICITY
Unless explicitly stated otherwise by the client, notified by letter with acknowledgment of receipt, ELYPSUN reserves the right to mention its realization for the client company as a reference within the framework of its commercial prospecting, external communication and advertising initiatives.
The client company, represented by the signatory of this order, authorizes ELYPSUN, through its legal and commercial representatives, to use the realization for purely demonstrative purposes. This authorization extends more particularly to the constituent elements of the production, including without restriction the public presentation of the following content: Textual content, iconographic content.
9 - PRODUCTION OWNERSHIP
All of the production and related rights, subject of this order, remain the full and exclusive property of ELYPSUN as long as the invoices issued by ELYPSUN are not paid in full by the client company, up to the total amount of the order and any amendments concluded during the service. As a corollary, the client company will become the de facto owner of the production and the rights transferred from the final payment and settlement of all the invoices issued by ELYPSUN within the framework of the order. Unless otherwise stated in this document, the production files and sources remain the property of ELYPSUN. Only the finished product will be sent to the customer. In the absence of such mention and if the client wishes to have the sources of the documents, an amendment to this document must be requested.
10 - RESPONSIBILITY AND OWNERSHIP OF CONTENT
The client company, represented by the signatory of this order, recognizes and assumes full and entire responsibility for the choices made in terms of textual and iconographic content, appearing in the work delivered by ELYPSUN. The client company, represented by the signatory of the order, acknowledges having read the warnings set out in this document concerning the laws of intellectual property, and the penalties that may be incurred for their violation.
11 - PRINTS AND “PROPER TO PRINT”
In case of order "OUT OF STANDARD "
ELYPSUN will not be able to send any support in production without a formal written validation and the signature of the "Good to print" by the customer. This "Bon à Tirer" must be returned to us signed and dated by post or by email accompanied by the mention "Bon à Tirer". The "Ready to Print" releases ELYPSUN entirely from any responsibility for the content of your media.
ELYPSUN only guarantees the conformity of the printing in relation to the order validated by the customer. In the event of proven non-compliance, a reprint or a commercial gesture will be considered.
12 - OBLIGATION OF CONFIDENTIALITY
CIRCAYA will consider as strictly confidential, and refrains from disclosing, any information, document, data or concept, of which it may become aware on the occasion of this contract.
For the application of this clause, CIRCAYA is responsible for its employees and its management. The service provider, however, cannot be held responsible for any disclosure if the elements disclosed were in the public domain at the date of the disclosure, or if he had knowledge of them, or obtained them from third parties by legitimate means.
13 - OBLIGATION TO COLLABORATE AND FREE ACCESS TO INFORMATION
As part of the proper execution of the contract, ELYPSUN must have free access to all the elements necessary for the realization of the project (- texts - photos and graphic elements - etc...). The client will make available to the service provider all information that may contribute to the successful achievement of the purpose of this contract. In the event that the elements necessary for the smooth running of the project are transmitted by the client in a form that cannot be used and resulting in the intervention of the ELYPSUN teams (Text entry - image extraction - photo clipping - vectorization of elements, etc. ..) additional invoicing may be applied automatically based on an hourly rate of €75.00 excl.
14 - RESPONSIBILITIES
The customer agrees that, whatever the basis of his complaint, and the procedure followed to implement it, the possible liability of the company ELYPSUN due to the performance of the obligations provided for in this estimate, will be limited to an amount n not exceeding the total amount actually paid by the client, for the services or tasks provided by the service provider. In addition, the client waives seeking the liability of the service provider in the event of damage to the files, or any document that he may have entrusted to him. ELYPSUN disclaims liability for material damage that may affect the buildings, installations, materials, furniture of the customer. The client agrees that the service provider will not incur any liability for any loss of profits, commercial trouble, requests that the client would suffer, requests or claims made against the client and emanating from a third party either.
15 - COMMERCIAL WARRANTY
ELYPSUN guarantees the proper functioning of equipment during the commercial warranty period relating to the equipment concerned.
If the equipment proves to be defective during the commercial warranty period, the equipment will be repaired free of charge by the authorized ELYPSUN workshop(s) or by the ELYPSUN Repair and Service Center.
The guarantee applies to new ELYPSUN products, intended for and purchased in the European Economic Area (EEA) as well as Switzerland.

Repairs will only be covered upon presentation of the original invoice or purchase receipt issued to the customer by the seller of the equipment specifying:

(a) the name of the purchaser,
-
(b) the name and address of the seller,
-
(c) the model designation and serial number, of the hardware purchased.

(d) the date of purchase of the material.

ELYPSUN may refuse to provide the warranty if this information is inaccurate, incomplete or has been deleted or modified after the original purchase of the product by the customer from the seller.

ELYPSUN also reserves the right, instead of repairing a defective product, to replace this defective product with a product of identical or superior quality.
The commercial warranty is 5 years from the date of purchase, provided that the products
Have been installed in accordance with the instructions and specifications provided. It may be requested
To provide proof (photos, etc.) of the conformity of the installation.
CIRCAYA does not cover the repair of counterfeit products or products not intended and purchased in the European Economic Area (EEA) as well as Switzerland.
The commercial guarantee applies in addition to any other right that you may have vis-à-vis the seller in accordance with the law, namely the legal guarantee of conformity mentioned in articles L.217- 4 to L.217-12 of the Consumer Code and that relating to defects in the item sold, under the conditions provided for in Articles 1641 to 1648 and 2232 of the Civil Code.
16 - LEGAL GUARANTEE OF CONFORMITY:
Article L.217-4 of the Consumer Code: “The seller delivers goods that comply with the contract and is liable for any lack of conformity existing at the time of delivery. He is also liable for any lack of conformity resulting from the packaging, the assembly instructions or the installation when this has been charged to him by the contract or has been carried out under his responsibility.
Article L.217-5 of the Consumer Code: "The good complies with the contract: 1° If it is specific to the use usually expected of a similar good and, where applicable: - If it corresponds to the description given by the seller and possesses the qualities that the latter presented to the buyer in the form of a sample or model; - If it has the qualities that a buyer can legitimately expect given the public statements made by the seller, the producer or his representative, in particular in advertising or labeling; 2° Or if it has the characteristics defined by mutual agreement by the parties or is suitable for any special use sought by the buyer, brought to the attention of the seller and which the latter has accepted”
Article L.217-12 of the Consumer Code: "The action resulting from the lack of conformity is prescribed by two years from the delivery of the goods"
17 - GUARANTEE AGAINST HIDDEN DEFECTS:
Article 1641 of the Civil Code: "The seller is bound by the guarantee on account of the hidden defects of the thing sold which render it unfit for the use for which it is intended, or which reduce this use so much that the buyer would not have not acquired, or would have given only a lesser price, if he had known them.
Paragraph 1 of article 1648 of the Civil Code: “The action resulting from redhibitory defects must be brought by the purchaser within two years from the discovery of the defect. »
In accordance with article Art L217-16 of the consumer code, any period of immobilization of at least seven (7) days is added to the duration of the guarantee which remained to run. This period runs from the request for intervention or the provision for repair of the equipment if this provision is subsequent to the request for intervention.
18 - PRODUCT GUARANTEES:
The buyer benefits from the guarantee of the manufacturers of the products indicated on each product sheet.
Excluded from this warranty are damages caused by improper use of the product by the customer or by the latter's fault.
Any lack of conformity of products purchased on the website are guaranteed by ELYPSUN under the conditions of articles L. 211-4 to L211-13 and of the consumer code and hidden defects of the thing sold under the conditions provided for in articles 1641 to 1648 and 2232 of the civil code.
As part of the implementation of the legal guarantee of conformity, the buyer:
Benefit from a period of 2 years from the delivery of the property to act.
He can choose between the repair and the replacement of the good. As specified in article L211-9 of the Consumer Code, the seller may however choose another method than that chosen by the buyer if this choice entails a manifestly disproportionate cost with regard to the other method.
May also decide to implement the guarantee against hidden defects of the thing sold within the meaning of article 1641 of the civil code. He can then choose between canceling the sale or reducing the sale price in accordance with article 1644 of the code.
The legal guarantee of conformity applies independently of the commercial guarantee possibly subscribed and of the after-sales service within the meaning respectively of articles L211-15 and L211-19 of the consumer code.
19 - EQUIPMENT RECORDS:
Upon receipt of the equipment to be repaired, a technical diagnosis is established and an estimate or confirmation of receipt is sent to you by SMS, email or post. The information contained in the confirmation of receipt is given for information only and does not predict the possible need for additional repairs.
20 - EXCLUSIONS:
The commercial warranty does not apply in the event of damage or defects resulting in particular from corrosion, dirt, water, sand or shocks, etc. In this case a detailed estimate will be established for you.
21 - QUOTATION:
In the event of equipment not covered by the guarantee, a lump sum of 50 euros including tax is requested in order to carry out a technical diagnosis of the equipment and thus check whether it is repairable.
In case of repair, a detailed estimate is drawn up. In the event of acceptance of the repair estimate by the Customer, the amount of 50 euros including tax invoiced for the examination of the equipment is deducted from the amount of the repair.
In case of specific request on a material such as for example a verification of material or a cleaning, an estimate is established. For some services, these quotes are fixed.
Quotations are valid for a period of thirty (30) calendar days. If the customer refuses the quote,
The material will be returned at his expense.
22 - TERMS OF PAYMENT:
Method of payment for materials shipped: By VAD bank card (distance selling) or bank check payable to ELYPSUNSAS or by bank transfer to Banque CIC. The contact details of Banque are provided on request. Payment at the end of the repair before shipping the equipment.
Customer with a ELYPSUN customer account: 30 days from the date of issue of the invoice.
Penalties in the event of late payment: three times the legal interest rate in force, plus a lump sum compensation for recovery costs of €60.00
Repairs are not subject to discount or rebate and are subject to the applicable VAT rate.
Non-payment of an invoice on its due date also makes all sums owed by the customer immediately payable. ELYPSUN SAS may set off with the sums owed by the customer, even if the conditions for legal compensation are not met.
In addition to the damages it may claim, ELYPSUN SAS also reserves the right to suspend any delivery until full payment of the sums due.
23 - TRANSPORTATION:
Parcel shipping method: at the choice of ELYPSUN, UPS, La Poste, Chronopost, DHL...
Terms :
- For equipment under warranty: transport costs to the workshop and return are the responsibility of ELYPSUN, unless it turns out that the products can be covered under warranty.
- For repairs of products out of warranty: return shipping costs are the responsibility of the customer.
- For spare parts: postage and packing costs are the responsibility of the customer and are invoiced in addition to the price of the parts.
24 - RESPONSIBILITY:
Except contrary legal provisions of public order, the responsibility of ELYPSUN, in respect of the material and the repair carried out, is limited to the damages undergone with the material. This responsibility cannot exceed the value of the material in question, increased by the amount excluding tax of the repair actually paid by the customer.
All products undergo quality control before shipment. Any products used outside the specifications indicated cannot be covered by the warranty.
In particular:: Falls, shocks, poor electrical connections, short circuit, all uses not in accordance with the intended use of the product, etc.
The responsibility of ELYPSUN SAS cannot therefore be called into question, nor the products can be exchanged under the guarantee.
The products sold by ELYPSUN SAS have not been designed, to be integrated into applications in which a failure of these could create a dangerous situation that could lead to financial losses. , property damage, bodily injury or death to persons or animals. If you use these products voluntarily or involuntarily for such unauthorized applications, you agree to release ELYPSUNfrom all liability and from any claim for compensation. In the event of a dispute, the sole liability of ELYPSUN SAS will be limited, as the case may be, to the reimbursement of your product or its repair or exchange.
All uses, responsible for damages, whatever they are (including, but not limited to, damages for loss of commercial profit, interruption of commercial exploitation, loss of information and data of a commercial nature or any other financial loss) arising from the use or inability to use the product you have just acquired, even if ELYPSUN has been informed of the possibility of such damage.
25 - WITHDRAWALS:
Any equipment not claimed within a period of one (1) year and one (1) day from the date of availability notified by ELYPSUN to the customer, will be considered abandoned for the benefit of ELYPSUN and will be either destroyed or resold.
26 - DIFFERENT CAUSES OF MATERIALS RETURNED UNREPAIRED:
1°) Estimates or repair packages refused by the customer, whatever the reasons.
2°) Repairs whose price exceeds the value of the material or the selling price of equivalent material (the product will be declared as not economically repairable).
3°) Estimates or repair packages that have not been answered by the customer for a period of 30 days.
27 - PERSONAL DATA:
ELYPSUN SAS. registered in France, at 25 rue Gustave Eiffel - ZA du Bel Air - 78120 Rambouillet - France, is responsible for processing personal data. The collection and processing of personal data provided in the context of the management of repair requests is carried out in accordance with the applicable laws and regulations on the protection of personal data. For the execution of the management of repair requests, personal data may be transferred to companies of the ELYPSUN Group and to third parties designated by ELYPSUN to carry out the repairs. Due to the international dimension of the ELYPSUN Group and the measures taken to ensure the use of computer tools as well as the security of computer networks and transactions, computer maintenance operations, the processing referred to in this article is likely to involve transfers of personal data to countries that are not members of the European Economic Area, whose personal data protection legislation differs from that of the Union
European. In this case, a precise and demanding framework, in accordance with the models adopted by the European Commission, as well as appropriate security measures, ensure the protection of the personal data transferred. The data will be kept for a period of five (5) years from the end date of the repair and this, for reasons of proof.
Accounting data and supporting documents may be kept for a period of ten (10) years in accordance with the provisions of Article L123-22 of the Commercial Code. Your personal data is securely stored by ELYPSUN and will not be used for any other purpose. You have a right of access and rectification, erasure, limitation of processing, as well as the right to the portability of your personal data. It is specified that the exercise of some of these rights may result, on a case-by-case basis for ELYPSUN, in the impossibility of providing the expected services. You can exercise your rights by sending an email to: contact@elypsun.fr. You also have the right to file a complaint with the Commission Nationale de l'Informatique et des Libertés (CNIL), the authority in charge of compliance with obligations regarding personal data. If you have a ELYPSUN ID online account, requests regarding your personal data can be processed directly on your account by logging into your profile.
28 - DISPUTES & COMPLAINTS:
All complaints from customers or consumers, for any reason whatsoever, must be sent in writing to ELYPSUN SAS.
The buyer must imperatively contact Customer Service by e-mail at: sav@circaya.fr, the SAV undertakes to provide an answer to any complaint within 48 to 96 hours in order to find an amicable solution together.
29 - APPLICABLE LAW:
The sales contract concluded with the French customer is governed by French law. The competent court, in the event of a dispute, is the court of Versailles.
30 - SETTLEMENT OF DISPUTES:
Settlement of disputes with customers who do not have merchant status: Common law rules apply to customers who do not have merchant status.
Settlement of differences with customers having merchant status: With the exception of the provisions relating to delivery, and by express derogation from the provisions of article L.110-4 of the Commercial Code, any dispute by a customer having the status of trader, may only be raised within a period of one year from the occurrence of the disputed event.

31 - FORCE MAJEURE:
In the event that ELYPSUN SAS finds itself unable, as a result of an event of force majeure (within the meaning of French law and case law), to partially or completely fulfill its obligations, these will be suspended for as long as the impossibility in question.
In the event that all orders are completely suspended for a period of more than 1 month due to a case of force majeure, or for the entire duration of confinement (+ 2 months) decided by the government. ELYPSUN and its client may reach an agreement to automatically cancel the suspended orders, without owing any compensation in this respect to the other party, on the condition of notifying the other party its intention to cancel orders by registered letter with acknowledgment of receipt.
32 - IT AND FREEDOMS:
In accordance with the Law "Informatique et Libertés" of January 6, 1978, the buyer has a right to access and rectify personal data concerning him.
33 - INFORMATION CONCERNING THE PRODUCTS:
Conditions of use:
All products marketed by ELYPSUN SAS are exclusively intended for use in residential and industrial environments in a dry environment, temperate (+10°C to +30°C) and dust-free, to allow ventilation and cooling.
These products are not intended, designed or authorized for use:
- outdoors, or likely to receive splashes of water
-on board, in machines, vehicles, mobile boats,
of any nature whatsoever,
-in an explosive environment, in elevators, in a medical environment,
Smartphone app:
The products of the following CIRCAYA range:
CIRCAYA BOX , INTOBOX and TOPBOX , are delivered in “ circadian” configuration, and are therefore ready to use, independently.
An android smartphone application and IOs are available to customers

Our products are composed of a large number of LEDs, for which it is possible to vary their intensities and their color. These LEDs can have a very high brightness. The choice of brightness and color can be made via the application or on the control panel of the BOX.
